Terms of Service

1. Who we are

Flux is operated by Redbite Solutions Ltd, a company registered in England and Wales. When we say "Flux", "we", "us", or "our" in these terms, we mean Redbite Solutions Ltd.

2. Acceptance of terms

By creating an account or using Flux, you agree to be bound by these Terms of Service. If you do not agree, do not use the service. If you are using Flux on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

3. Description of the service

Flux is a cloud-based kanban and project management platform. We provide real-time boards, cards, columns, file attachments, an activity log, an AI assistant, a REST API, and an MCP server. Features, limits, and pricing may change - we will give reasonable notice of material changes.

4. Accounts

You must provide accurate information when you register. You are responsible for keeping your credentials secure and for all activity that occurs under your account. Notify us immediately at hello@umin.ai if you suspect unauthorised access.

5. Workspaces and roles

Flux is organised around workspaces. Each workspace has an owner, and optionally admins, members, and viewers. The workspace owner is responsible for managing membership and for the content stored in that workspace.

6. Free and paid plans

We offer a free tier and paid plans. The free tier includes core features with usage limits (e.g. number of boards). Paid plans unlock higher limits and additional features.

Paid subscriptions are billed in advance on a monthly basis. If you cancel, you retain access until the end of the current billing period. After that, your workspace will revert to read-only until you re-subscribe or delete it.

We may change pricing with 30 days' notice. Price changes will not apply to the current billing period.

7. Your content

You retain all ownership rights to the content you create in Flux (boards, cards, comments, attachments). By using the service, you grant us a limited licence to store, process, and display your content solely to provide and improve the service.

We do not claim ownership of your content and will not use it for advertising or sell it to third parties.

8. AI features and third-party data processing

Flux offers optional AI-powered features (e.g. card suggestions, content generation). When you use these features, relevant board content may be sent to third-party AI providers for processing.

AI features are opt-in. Data sent to AI providers is used solely to generate responses for your request and is subject to the provider's data processing terms. We do not send your data to AI providers unless you actively use an AI feature.

9. API and MCP access

We provide a REST API and MCP server for programmatic access. API keys are scoped to specific permissions and must be kept confidential. We reserve the right to rate-limit or suspend API access that degrades the service for other users.

10. Acceptable use

You agree not to:

  • Use Flux for any unlawful purpose or to store illegal content
  • Attempt to gain unauthorised access to other users' workspaces or data
  • Interfere with or disrupt the service or its infrastructure
  • Reverse-engineer, decompile, or attempt to extract source code from the service
  • Use automated systems to scrape or bulk-download content beyond API rate limits
  • Resell or sublicense access to the service without our written consent

We may suspend or terminate accounts that violate these terms.

11. Intellectual property

Flux, including its software, design, logos, and documentation, is the property of Redbite Solutions Ltd. These terms do not grant you any rights to our trademarks or branding.

12. Availability and support

We aim to keep Flux available and reliable but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. Support is available via email at hello@umin.ai.

13. Data and backups

We take reasonable steps to back up and protect your data. However, you are responsible for maintaining your own copies of critical data. We are not liable for data loss beyond what is covered under applicable law.

14. Termination

You may close your account at any time. We may suspend or terminate your account if you breach these terms, with notice where practicable. On termination, we will delete your data within 90 days unless retention is required by law.

15. Limitation of liability

To the maximum extent permitted by law, Redbite Solutions Ltd's total liability arising out of or in connection with these terms or your use of Flux shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

16. Changes to these terms

We may update these terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use of Flux after the effective date constitutes acceptance of the updated terms.

17. Governing law and disputes

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or your use of Flux shall be subject to the exclusive jurisdiction of the courts of England and Wales.
